1. Purpose and scope
These Terms & Conditions govern subscriptions to IO Tech, a pupillary distance and lens centering height measurement aid published by IRIS & OCTAVE, a sole proprietorship based in Saint-Vivien-du-Médoc (Gironde), France ("IO Tech", "we").
IO Tech is intended exclusively for optical professionals acting within their professional activity ("the Customer", "you"). It is not offered to individual consumers. Any subscription implies full acceptance of these Terms.
2. Service description
IO Tech is a progressive web app (PWA) that runs directly in the Customer's phone browser, with no installation from an app store. It measures pupillary distance and lens centering height for progressive and aspheric lens fitting, based on photographs taken in-store.
All processing (capture, measurement calculation) happens locally on the Customer's device: no photograph or measurement is ever transmitted to a server or stored by IO Tech (see Section 8, Data Protection).
IO Tech is a measurement aid. It does not replace the optician's professional judgment, who remains solely responsible for the final validation of the measurements used to order and fit the lenses.
3. Price and payment terms
IO Tech offers two pricing plans, at the Customer's choice, each granting the license described in Section 5 for one (1) device:
Subscription plan: €4.90 excl. tax per month, billed annually as €58.80 excl. tax per year and per device, subject to the Minimum Commitment defined in Section 4.
One-time payment plan: €245 excl. tax as a single payment, granting a fixed 3 (three) year license per device, with no renewal or further charge (see Section 4).
Payment is made online via our payment provider (Stripe): by card, with automatic charge at each annual renewal for the Subscription plan; by card or any other method offered by Stripe (bank transfer against invoice where applicable) for the One-time payment plan.
Prices are shown excluding tax; applicable VAT is added in accordance with regulations in force at the time of billing.
4. Term and minimum commitment
4.1 Subscription plan — The subscription is entered into for an initial minimum term of 3 (three) years from the date of first subscription (the "Minimum Commitment"), renewed through annual instalments of €58.80 excl. tax.
The Customer agrees to pay all annual instalments corresponding to the Minimum Commitment. Should the Customer terminate early, before the end of that term, the remaining annual instalments due until the end of the Minimum Commitment remain payable and will be invoiced to the Customer as set out in Section 6.
After the 3-year Minimum Commitment, the subscription automatically renews for successive one-year periods, at the then-current rate, with no new fixed term. The Customer may then cancel at any time, effective at the next annual renewal.
4.2 One-time payment plan — The license acquired through a one-time payment is granted for a fixed term of 3 (three) years from its activation, paid in full at subscription. It is subject to no further charge and no automatic renewal, and is non-refundable once activated, including if the Customer ceases business before the end of the 3-year term.
Before a One-time payment plan license expires, IO Tech will contact the Customer to offer renewal, under either plan then in effect.
5. License to use
The subscription grants a license to use IO Tech on one (1) identified device, for professional use exclusively within the Customer's store. Any use on an additional device requires a separate subscription.
The license is personal to the Customer and may not be assigned, resold, or shared with a third party without IO Tech's prior written consent.
6. Cancellation
This Section applies only to the Subscription plan. The One-time payment plan, paid in full at subscription and with no automatic renewal, is not subject to cancellation or pro-rata refund (see Section 4.2).
After the 3-year Minimum Commitment: the Customer may cancel at any time by writing to contact@iris-octave.fr, with at least 30 days' notice before the next annual renewal.
During the Minimum Commitment: early cancellation makes the remaining annual instalments due until the end of the Minimum Commitment immediately payable, per Section 4. This amount will be invoiced to the Customer in one payment, or on a schedule agreed between the parties.
IO Tech reserves the right to suspend or terminate a Customer's subscription, or to suspend a Customer's One-time payment plan license, in the event of a serious breach of these Terms (in particular, use of the license in violation of Section 5), after formal notice that remains unaddressed for 15 days.
7. Updates
Updates to IO Tech (fixes, improvements) are included in the subscription and deployed automatically, with no action required from the Customer, the next time the app is opened with an active internet connection.
8. Data protection
IO Tech operates on a privacy-by-design principle: photographs taken for measurement and the resulting calculations (pupillary distance, centering height) remain exclusively on the Customer's device and are never transmitted to a server, stored by IO Tech, or shared with any third party.
IO Tech therefore collects no personal health or identification data relating to the Customer's own end clients. The Customer remains solely responsible, as a vision-care professional, for complying with their own regulatory obligations toward their clientele.
The only data processed by IO Tech about the Customer itself (name, email, payment information) is that required to manage the subscription, processed in accordance with the General Data Protection Regulation (GDPR) and the privacy policy of our payment provider, Stripe.
9. Intellectual property
IO Tech, its code, design, and brand are the exclusive property of IRIS & OCTAVE. The subscription grants the Customer a non-exclusive, non-transferable right of use, to the exclusion of any other intellectual property right.
10. Liability
IO Tech is a measurement aid provided "as is". IO Tech cannot be held liable for ordering, fitting, or adjustment decisions made by the Customer based on the measurements obtained; final validation is the sole professional responsibility of the optician.
Should IO Tech's liability be established, it is limited to the amounts paid by the Customer under the subscription over the preceding twelve months.
11. Governing law and disputes
These Terms are governed by French law. Any dispute regarding their validity, interpretation, or performance shall, failing an amicable resolution, fall under the exclusive jurisdiction of the courts of Bordeaux, Gironde, France.
